About the Role
We are hiring our Legal Counsel—a pivotal and high-impact role for a bold, tech-forward legal professional with deep cryptocurrency and blockchain expertise. This person will provide full-spectrum legal guidance to our executive team and board, helping to scale the business globally while ensuring legal and regulatory excellence in both traditional and digital asset domains. You'll be the primary legal authority in the company, working across corporate, commercial, compliance, governance, and strategic matters, with particular focus on our pioneering Bitcoin treasury strategy and blockchain initiatives.
As a trusted advisor to the CEO, CFO and senior management team, you will be instrumental in shaping our strategic direction, supporting complex financing arrangements, M&A transactions, and ensuring our continued leadership in the convergence of healthcare and digital assets. We are especially looking for a proactive and innovative legal mind who embraces the use of AI-powered tools to work smarter and has substantial experience navigating the evolving regulatory landscape of cryptocurrency and blockchain technology.
Ideal candidates will have 5–8 years of experience with significant exposure to crypto/blockchain legal matters, and should have listed company experience.
Key Responsibilities
Corporate, Securities & Governance
- Lead all NASDAQ listed company filings and regulatory compliance
- Use AI-powered legal tools like Spellbook, CoCounsel and Harvey to assist with the preparation and filing of SEC documents, reducing turnaround time and improving accuracy
- Oversee comprehensive NASDAQ listing compliance, including ongoing reporting obligations, corporate governance standards, and market maker communications
- Provide strategic legal advice on U.S. securities laws, SOX compliance, and NASDAQ listing requirements, supported by AI-enabled regulatory monitoring and research
- Navigate complex regulatory frameworks for Bitcoin treasury management and cryptocurrency operations, ensuring compliance with evolving digital asset regulations
- Advise on securities law implications of cryptocurrency holdings, payments, and blockchain technology implementations
- Coordinate with external auditors, transfer agents, and NASDAQ representatives to ensure seamless compliance and reporting processes
- Manage board governance workflows—including board resolutions, secretarial support, and compliance tracking—through digitized and AI-assisted processes
- Work closely with the CEO and management team on strategic governance matters, providing real-time legal counsel on high-stakes decisions
- Stay ahead of legal and regulatory developments using tools that provide real-time updates and intelligent summaries for board and executive reporting
Commercial, Compliance & Strategy
- Draft, review, and negotiate contracts using Spellbook, an AI contract assistant that works directly within Microsoft Word to accelerate contract work with context-aware suggestions
- Structure and negotiate cryptocurrency payment processing agreements, digital wallet custody arrangements, and blockchain technology partnerships
- Support business partnerships and operations by integrating CoCounsel, a legal AI research and analysis tool, into decision-making and due diligence workflows
- Implement comprehensive compliance frameworks for digital asset operations, including AML/KYC requirements, cryptocurrency exchange relationships, and blockchain data privacy
- Implement company-wide compliance policies (data privacy, risk, IP, employment) using automated compliance management systems and provide engaging, tech-enabled training
- Assist in corporate transactions (M&A, JVs, investments) with particular expertise in crypto-native companies and digital asset valuations, using AI-powered diligence and document review tools
Strategic Finance & M&A
- Lead legal aspects of complex financing transactions, including traditional equity/debt raises and innovative crypto-backed financing structures
- Support M&A activities from initial due diligence through closing, with specialized knowledge of digital asset transfer mechanisms and blockchain technology integrations
- Collaborate closely with the CEO and CFO on strategic financial decisions, including Bitcoin treasury optimization and alpha-generating strategies
- Structure and negotiate joint ventures and strategic partnerships in both traditional healthcare and emerging crypto/blockchain sectors
- Advise on regulatory capital requirements and financial reporting implications of cryptocurrency holdings and operations
Operations, IP & Digital Assets
- Oversee and optimize the company's intellectual property portfolio using AI patent monitoring and trademark search tools, with particular focus on blockchain and cryptocurrency-related innovations
- Manage ESOP processes using digital equity platforms, integrating them with automated grant documentation and approval flows
- Structure and manage employee incentive programs
- Oversee company secretarial obligations across jurisdictions with cloud-based entity management tools
- Coordinate external counsel engagements for specialized crypto/blockchain matters, including regulatory investigations and complex digital asset transactions
- Coordinate external counsel engagements through centralized legal dashboards for spend management, project tracking, and automated reporting
- Executive Partnership & Strategic Advisory
- Serve as a key strategic advisor to the CEO, CFO and senior management team, participating in executive decision-making processes
- Provide real-time legal counsel during board meetings, investor calls, and strategic planning sessions
- Lead cross-functional initiatives that require legal expertise, working closely with finance, operations, and technology teams
- Represent the company in high-level negotiations and strategic discussions with potential partners, investors, and regulatory bodies
What We're Looking For
Required Qualifications
- LLB or JD from an accredited law school
- Licensed to practice in a common law jurisdiction (USA, HK, UK, Singapore, Malaysia); U.S. Bar is a strong plus
- 5–8 years of legal experience, including 3+ years supporting a listed company (preferably NASDAQ or NYSE)
- Minimum 2-3 years of substantial experience in cryptocurrency, blockchain, or digital asset legal matters
- Demonstrated expertise in crypto regulatory compliance, digital asset custody, and blockchain technology legal frameworks
- Comfortable working as a sole legal counsel with broad scope
- Passion for technology and a willingness to use AI tools in legal workflows
- Strong background in corporate finance, M&A transactions, and complex commercial arrangements
- Excellent judgment, integrity, and the ability to work autonomously
- Strong communicator who can translate legal advice into practical solutions for executive decision-making
- Proven ability to work effectively with C-level executives and board members in high-pressure, fast-moving environments
Preferred Qualifications
- Advanced certifications or specialized training in cryptocurrency law, blockchain technology, or digital asset regulation
- Experience with Bitcoin treasury management, cryptocurrency exchange operations, or DeFi protocols
- Experience in health sciences, biotech, or regulated tech sectors
- Background in fintech, crypto exchanges, or blockchain technology companies
- Track record of successfully navigating regulatory investigations or enforcement actions in the crypto space
- Background in M&A, investor relations, or international expansion
- Experience structuring complex financing transactions involving digital assets or crypto-native companies
- Familiarity with Asian and North American legal environments
- Understanding of smart contracts, tokenomics, and decentralized governance structures
- Bilingual in English and Chinese (Cantonese or Mandarin) is a plus
